API Calls

With respect to TRM’s API Services, an API-based fee based on the number of API calls will be applied and billed quarterly. API Fees are stipulated in the applicable OrderForm.

For purposes of this Agreement and any applicable Order Form(s), the following definitions apply:

API Definitions:

“API Calls” shall mean the number of API calls made by the Customer to any of the TRM API products as follows:

• “Wallet Screening”: for each screening of a wallet
• “Transaction Monitoring”: for each screening of a transfer“

Screening” means each instance Customer inputs a wallet address or transaction into the TRM tool or TRM API.

1. API Volume Automatic Refills, True-Ups, and Discounts:
   When Customer’s usage hits scale, volume-based discounts are automatically applied.If Customer’s pre-purchased API Calls/Bundle volume is depleted ("Depletion") duringthe 90 day period immediately before expiration of the existing Order Form Term, TRM will automatically add an amount of API Calls equal to the number of API CallsCustomer used during the calendar month preceding Depletion for each monththrough the remainder of the existing Order Form Term (“Automatic API Refill”).Accordingly, TRM will remit an invoice on a monthly basis for the Automatic API Refill(s)until the end of the existing Order Form Term.

   *Standard API includes Attribution data, Counterparty Analytics data, CustomizableRisk Engine, Group Access Policies, Unlimited Environments, & Continuous Screening
   
   API Calls and API Bundles will be valid through the end of the applicable Order FormTerm during which the purchases were made. There is no roll-over between the currentapplicable Order Form Term and any Renewal Terms nor is any transfer permitted between Order Forms.

2. API Testing Environment:
   API calls made from any test environment provisioned during the Services Term shall not exceed 10,000 test API calls per year
